[Missouri-l] Board Meetings

Hello

With reference to teleconference board meetings, I find it to be out of 
order in accordance to the bylaws of MCB.

According to the bylaws, board meetings are to be open meetings except for 
the closed meetings dealing with those issues that are not to be public 
information.

I understand that last night's meeting was not listed and those persons who 
were not asked to be present were told they could not be on the call.

I feel as John does in that the board is too large as it is.  Also that 
there are members of the board and officers that consistently are not 
present or do not participate in matters before them.

MCB and ACB are the only two organizations (that I know of) that have boards 
made up entirely of members.  Most boards are comprised of persons that are 
interested in the particular organization but do not belong as members so 
that they can be objective and not burdened with their standing in the 
organization.

I have felt for a long time that regional districts would be a way to 
conduct business in their area and to elect a representative to meet with 
the elected officers as the Main board.  The "board" could hold meetings say 
three times per year and then at the convention.  This would mean that the 
"board would be somewhere in the range of 9 to say 11 members.

In any event, it is my opinion that the board meetings are in violation of 
the bylaws if they are not open to the general membership whether they are 
face to face or via telephone.
